Terms of Service.

The rules of the road for using this site. Plain English where the law lets us, formal where it doesn't.

§ 01What this site is, and what it is not

Michigan Farm Waste Exchange ("MFWE," "we," "us," or "our") is operated by MI Big Bucks Solutions LLC, a Michigan limited liability company based in Greenville, Michigan. Through this site we provide an introduction and aggregation service connecting Michigan agricultural producers (farmers, growers) with potential buyers of agricultural residue (biomass companies, energy producers, processors, and similar). We refer to this as the "Service."

We are a connector, not a counterparty. We do not buy, sell, broker, escrow, transport, store, or process agricultural materials. When two parties transact through introductions facilitated by us, the contract is between those parties, not with us. We are not a regulated commodities broker.

§ 02Acceptance of these terms

By using this site, signing up through our forms, or engaging with us through introductions we facilitate, you agree to these Terms of Service. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business entity (farm operation, biomass company, etc.), you represent that you have authority to bind that entity to these Terms.

§ 03Who can use this site

• You must be at least 18 years old.
• You must provide accurate information when you sign up. Knowingly providing false information may result in removal from the network.
• If you sign up as a farmer, you should be an actual agricultural producer with residue or related materials available for sale or trade — or you should be evaluating whether you might be.
• If you sign up as a buyer, you should be a legitimate business entity with a real intent to source agricultural materials — or you should be in active diligence to do so.

§ 04Acceptable use

When using the Service, you agree not to:

• Misrepresent your identity, affiliation, or intent
• Submit spam, automated form submissions, or load-test our endpoints
• Attempt to reverse-engineer, scrape, or download bulk data from the site
• Use information learned through MFWE to circumvent the platform — see Section 7 (Non-Circumvention)
• Use the Service to facilitate any illegal activity, including but not limited to violations of environmental, agricultural, or commercial regulations
• Harass, threaten, or contact other participants outside the channels we facilitate

We reserve the right to remove anyone from the network at our discretion if they violate these terms or behave in ways that undermine the integrity of the network. We are not required to explain such decisions.

§ 05What we promise, and what we don't

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding:

• The quantity, quality, or pricing of any agricultural materials referenced through the Service
• The financial solvency, business legitimacy, or operational capacity of any counterparty we introduce
• The successful completion of any potential transaction
• The accuracy, completeness, or timeliness of information on this site, including in the operator brief and any other published materials
• Uninterrupted, error-free, or secure operation of the site

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

§ 06Your responsibility for transactions

Any transaction between parties introduced through MFWE is between those parties. You are responsible for:

• Conducting your own due diligence on any counterparty (financial standing, business registration, references)
• Negotiating, drafting, and signing any contracts directly between yourselves
• Arranging logistics, transportation, storage, and processing
• Complying with all applicable laws, regulations, and environmental rules (including sustainable residue removal practices)
• Tax reporting and any applicable permits or licenses
• Resolving any disputes that arise between you and the counterparty

We strongly recommend that any material transaction be documented in a written contract reviewed by a qualified attorney before signing.

§ 07Non-circumvention

If we introduce you to another participant (farmer, buyer, processor, or otherwise) through the Service, you agree that for a period of eighteen (18) months from the date of that introduction, you will not transact with that participant outside of the MFWE network or attempt to circumvent us in connection with that participant.

This restriction is in place to protect the integrity of the network and the value we create by maintaining the relationships and data. It does not restrict transactions between parties who can demonstrate a pre-existing relationship that predates our introduction.

Breach of this clause may result in liquidated damages equal to the value of the bypassed transaction, plus reasonable attorney's fees if we are required to enforce this clause.

§ 08Fees

During our pilot phase, use of the Service is free. We do not charge listing fees, browsing fees, or per-transaction fees while in pilot status. We may, in the future, introduce fees for specific services — logistics coordination, documentation and reporting, escrow, etc. — at which time we will give existing participants at least 30 days' written notice of any change.

We are not, and will not be, a percentage-of-deal commission broker.

§ 09Intellectual property

The content on this site — including the website design, written copy, the operator brief, analysis, and the MFWE name and brand — is the property of MI Big Bucks Solutions LLC. You may not copy, republish, or commercially redistribute this content without our written permission.

You retain ownership of any information you submit to us through the signup form. By submitting it, you grant us a non-exclusive, royalty-free license to use that information for the purposes described in our Privacy Policy (matching, communication, platform operation).

§ 10Limitation of liability

To the maximum extent permitted by Michigan law and applicable federal law:

• In no event will MI Big Bucks Solutions LLC, its members, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service or any transaction facilitated by the Service.
• Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service is limited to one hundred US dollars ($100) or the amount you have paid us in the twelve months preceding the claim, whichever is greater.
• This limitation applies whether the claim is based on contract, tort, statute, or any other legal theory, and applies even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow limitations of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

§ 11Indemnification

You agree to indemnify, defend, and hold harmless MI Big Bucks Solutions LLC, its members, employees, and agents from any claim, loss, liability, or expense (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Any transaction you enter into with a counterparty introduced through the Service
• Any misrepresentation you make to us or to any counterparty
• Any third-party claim arising from your conduct or content you submit

§ 12Governing law and dispute resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service must be resolved in the state or federal courts located in Montcalm County, Michigan, and you consent to the personal jurisdiction of those courts.

Before filing any formal claim, you agree to first contact us at operations@mifarmwasteexchange.com and attempt to resolve the dispute informally for at least 30 days.

§ 13Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. You may stop using the Service at any time and may request deletion of your account by emailing us. Sections 5–7 and 9–12 of these Terms survive any termination.

§ 14Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date at the top and notify active participants by email. Continuing to use the Service after a change means you accept the updated Terms.

§ 15Miscellaneous

• Entire agreement. These Terms (together with our Privacy Policy) are the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a sale, merger, or reorganization.
• Force majeure. We are not liable for failures caused by events outside our reasonable control.
